Annual General Meeting

Glaston Corporation’s General Meeting of Shareholders is the company’s ultimate decision-making body. A General Meeting is convened by the company’s Board of Directors. The Annual General Meeting (AGM) decides on, among other things, the adoption of the financial statements, the distribution of profits, the discharge of Board members and the President & CEO from liability, and the election and remuneration of the Board of Directors and auditor. In accordance with the Articles of Association, the AGM is held by the end of May each year. An Extraordinary Meeting of Shareholders is convened when the Board of Directors considers it necessary or when one must be convened by law.

At a General Meeting, each shareholder has one vote per share. No-one, however, may vote with more than one fifth of the total number of shares represented at the meeting. The President & CEO, the Chairman of the Board and a sufficient number of Members of the Board shall attend a General Meeting. In addition, the auditor shall be present at the Annual General Meeting.
